What is a Wyoming EIN number?

How do you get a Wyoming EIN number?

When in the Wyoming formation process do you apply for the EIN?
After the Wyoming Secretary of State approves the Articles of Organization, never before. Line 1 needs the approved name and line 11 needs the approval date. An SS-4 filed early gets rejected by mail.

Does a Wyoming EIN replace a Wyoming state tax registration?
No. The EIN is the federal number. A Wyoming sales and use tax license is separate and costs $60. Wyoming levies 0% personal income tax and 0% corporate income tax, so no state income account exists.

How does a Wyoming LLC get an EIN number?
A Wyoming LLC gets an EIN by filing Form SS-4 after the state approves its Articles of Organization. Line 8a is Yes, line 8b takes the member count, and line 8c is Yes for a Wyoming LLC.

What changes for a foreign owner forming in Wyoming?
Line 7b takes the word Foreign, lines 4a and 4b take a non-US mailing address, and the entity files Form 5472 every year. The IRS penalty for a missing Form 5472 is $25,000.
A single-member Wyoming LLC owned by a non-resident is a disregarded entity that still files. It files a pro forma Form 1120 with Form 5472 attached, once a year, reporting transactions between the LLC and its foreign owner. Two rules attach to the date. The report is due on the first day of the anniversary month, so an LLC approved on 14 March owes it every 1 March after that. An entity left delinquent for 60 days is administratively dissolved by the Wyoming Secretary of State.
Administrative dissolution does not cancel the EIN. The IRS never reissues or deletes an EIN once it has been assigned.
